Introduction

Welcome to HarmonifyRX! These Terms of Use ("Terms") govern your use of the services, including medical consultations, telehealth services, and any other offerings available through the HarmonifyRX website, platform, or mobile applications (collectively, the "Sites"). By accessing or using our Sites, you agree to comply with these Terms. If you do not agree with any part of these Terms, please do not use the Sites or the services provided by HarmonifyRX.

Program Participation

1-Eligibility : By participating in the HarmonifyRX Program, you acknowledge that you meet the clinical criteria established by your healthcare provider for participation. You understand that failure to meet the clinical criteria does not relieve you of responsibility for paying the Diagnosis Online Visit and any required laboratory tests, which are separate from the Membership Fee.

2-Membership and Fees : Your membership ("Membership") in the Program begins once your healthcare provider communicates your care plan and you acknowledge and accept the risks and benefits of treatment. Membership services include up to eight (8) medical consultations, laboratory tests, at-home blood draws, secure messaging with your healthcare provider, and more, as specified below. The Membership Fee is charged on a recurring basis.

3-Additional Services Fees If you exceed the Membership services, you will incur additional fees for extra consultations, lab interpretations, and at-home blood draws:

Any Additional Services Fees will be charged to your payment card or PayPal account within seven (7) days of incurring such charges.

4-Payment of Membership Fee The Membership Fee is automatically charged to your payment card or PayPal account on a recurring, monthly basis until canceled. The initial fee is non-refundable. You can cancel your Membership at any time by contacting HarmonifyRX. If you transfer your prescription to a local pharmacy, the Membership Fee will not include medication costs.

Laboratory Testing and At-home Phlebotomy Services

1-Laboratory Services HarmonifyRX works with Quest Diagnostics for laboratory testing. You acknowledge that the cost of laboratory services is not included in your Membership Fee, and you are responsible for payments to Quest Diagnostics directly.

At-home Phlebotomy You agree to receive at-home phlebotomy services for laboratory tests as required by your healthcare provider. HarmonifyRX is not responsible for the payment or fulfillment of these tests.

Delays, Pauses, and Cancellations

1-Delaying Membership If you wish to delay your Membership, you may do so via your Secure User account or by contacting HarmonifyRX. Delaying may affect your treatment plan, and re-evaluation may be required.

2-Pausing Membership You may pause your Membership ("On-demand") by stopping auto-payments. You will not be charged again until you initiate a refill or reactivate auto-payments.

3-Cancellation of Membership You may cancel your Membership at any time, but any fees already paid are non-refundable. If you cancel or pause your Membership for a significant period without resuming treatment, your Membership may be canceled.

Telemedicine and Asynchronous Communication

Telemedicine Services HarmonifyRX offers telemedicine consultations, which allow you to receive medical advice from a licensed healthcare provider remotely. Asynchronous telemedicine (e.g., store-and-forward communication) may be used for consultations, which may involve submitting photos, videos, or other medical data for review at a later time.

Risks of Telemedicine While telemedicine is a convenient and effective method for care, it carries risks, including technical issues (e.g., poor data quality, Internet outages), privacy breaches, and delays in diagnosis or treatment. Telemedicine is not appropriate for emergencies; if you experience a medical emergency, call 911 immediately.

No Testosterone Replacement Therapy

HarmonifyRX does not provide services related to testosterone replacement therapy (TRT), including testosterone patches, gels, injections, or pellets. If you require TRT, you must consult an in-person healthcare provider.

Changes to Membership and Services

HarmonifyRX reserves the right to modify the services included in the Membership, and you will be notified 30 days in advance of any such changes. You can accept the revised terms by continuing to use the Program or terminate your Membership if you do not agree.

Governing Law and Dispute Resolution

1-Governing Law These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.

2-Arbitration Any dispute between you and HarmonifyRX will be resolved through binding arbitration, except for claims related to intellectual property or urgent injunctive relief. Arbitration will occur in New York, New York, and will follow the rules of the American Arbitration Association.

Privacy and Data Security

HarmonifyRX is committed to protecting your privacy and maintaining the confidentiality of your medical information. All data collected will be handled according to our Privacy Policy.

Assignment

You may not assign your rights under these Terms. HarmonifyRX may transfer its rights and obligations to third parties without notice in the event of a merger, sale, or other business transaction.

Digital Millennium Copyright Act (DMCA)

HarmonifyRX complies with the DMCA and will respond to notices of alleged copyright infringement. If you believe any content on our Sites infringes your copyright, please submit a notification to our Designated Agent at info@harmonifyrx.com.

No Waiver

Failure by HarmonifyRX to enforce any provision of these Terms does not constitute a waiver of such provision. Any waiver must be in writing and signed by HarmonifyRX.

Severability

If any part of these Terms is found to be invalid or unenforceable, the rest of the Terms will remain in effect.
